IN NO EVENT SHALL THE AGGREGATE AMOUNT OF DAMAGES PAYABLE TO YOU FOR ANY CLAIM ARISING FROM WEBTOOLKIT OR THIS AGREEMENT EXCEED THE AMOUNTS YOU PAID FOR YOUR LICENSE. ALEXANDRE BRILLANT WILL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR LOST PROFITS, LOST OPPORTUNITIES, OR FOR SPECIAL, CONSEQUENTIAL, INDIRECT, INCIDENTAL OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF WHETHER ALEXANDRE BRILLANT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In any legal action or arbitration relating to this Agreement, the prevailing party shall recover from the other party all costs of litigation or arbitration, including reasonable attorneys fees.

The Agreement is governed by French law. The Parties agree to endeavor to seek an amicable solution to any disagreements or disputes that may arise during the performance of the Agreement.

Failing an amicable solution within two (2) months as from their occurrence, and unless emergency proceedings are necessary, the disagreements or disputes shall be referred to the Paris Courts having

jurisdiction, by the more diligent Party.

This Agreement constitutes the entire agreement between you and japisoft with respect to the licensing of the Software.
